Course Terms

These Course Terms govern membership in FOCUSED Agentic Designers ("FAD"), a community and course offered by John Kaplar LLC, a Virginia limited liability company located in Loudoun County, Virginia, through the Skool platform. They supplement our Terms of Service and Skool's own terms of use. By joining FAD, you agree to these Course Terms.

1. Membership

Membership is a paid subscription at the rate and for the term you select on the Skool page at signup, either monthly or annual, billed by Skool on a recurring basis until you cancel. An annual membership is a twelve-month term paid in advance. Membership gives you full access to the course, the community, and the live build for as long as your subscription is active. You must be at least 18 years old to join.

2. Billing and cancellation

All billing is handled by Skool. You can cancel your subscription at any time through your Skool account settings. Cancellation stops future charges, including the renewal of an annual membership; it does not retroactively refund charges already made, and it does not refund the unused part of a monthly or annual term. Access continues through the end of the period you have paid for. There is no obligation to renew.

3. Refunds

Membership charges are generally non-refundable. If you believe you were charged in error, contact us and we will review it in good faith.

4. What membership includes

Membership includes access to the FAD course materials, the member community, and the documented build of John Kaplar LLC, as available during your membership. We improve, add, and retire content over time; the exact lineup of lessons and features may change.

From time to time we may offer a bonus with a particular membership plan, such as a website design included with an annual membership. Any website preview or website design files we provide are governed by our Website Design Offer Terms, which apply in addition to these Course Terms. Bonuses are provided as is, without any guarantee, and are not a separate purchase.

5. License

Course materials are licensed to you for your personal use and use within your own business, for as long as your membership is active. You may not resell, redistribute, republish, or share course materials, or share your account with anyone else.

6. Community conduct

The community works because members treat each other well. By participating, you agree to the following rules:

  • Be respectful. Mean-spirited comments, rudeness, personal attacks, harassment, hate speech, and inappropriate or vulgar language are not permitted.
  • No self-promotion or solicitation. The community is not a place to advertise, promote, or sell your own products or services, recruit clients, or solicit other members in posts, comments, or direct messages. Members who attempt to sell their services to the group will be removed.
  • No spam or disruption. Do not spam the community, post off-topic promotional content, or interfere with other members' use of it.
  • Respect privacy. Do not share other members' personal information or private community discussions outside the community.

We decide, in our sole discretion, whether conduct violates these rules.

7. Termination of membership

We may suspend or terminate any membership at any time, for any reason or no reason, with or without notice, in our sole discretion. Reasons may include, without limitation, violation of the community conduct rules in Section 6, violation of any other provision of these Course Terms, or conduct we consider harmful to the community, other members, or the business.

If your membership is terminated for a violation of these Course Terms, no refund is owed for the current billing period. If we terminate your membership without cause, our sole obligation is to refund the prorated unused portion of your current billing period. Sections 8 through 14 survive any termination of your membership.

8. Implementing what you learn is at your own risk

FAD teaches methods for building and operating AI systems and AI agents in a business. What you build, and how you run it, is entirely your responsibility. By joining, you acknowledge and agree that:

  • You implement the systems, methods, workflows, and configurations taught in FAD at your own risk, in your own business, under your own judgment.
  • You are solely responsible for the security of your own systems, including access controls, credentials, API keys, permissions granted to AI tools and agents, backups, and the protection of your own data and your customers' data.
  • AI tools can make mistakes. They can produce inaccurate output, take unintended actions, and fail without warning. You are responsible for reviewing, supervising, and limiting anything an AI system does on your behalf.
  • You are solely responsible for complying with the laws that apply to you and your business, including privacy, data protection, consumer protection, and employment laws.
  • We are not responsible for any data breach, data loss, security incident, financial loss, lost profits, business interruption, or other damage of any kind arising from your implementation or use of anything taught, shown, demonstrated, or discussed in FAD, whether in the course materials, the community, the live build, or anywhere else.

9. No earnings guarantee

FAD teaches methods for using AI in a business. We share our own real results and goals, including the $1M ARR journey, as documentation, not as a promise. We do not guarantee that you will earn any particular amount, save any particular amount of time, or achieve any particular outcome. Your results depend on your own effort, judgment, business, and market.

10. Third-party tools

The course references third-party AI tools and services. Those tools have their own pricing, terms, and availability, which can change without notice. We are not responsible for third-party tools, and nothing in the course is an endorsement guaranteeing a tool's fitness for your business.

11. Not professional advice

Course content is educational. It is not legal, financial, tax, security, or other professional advice. Consult your own advisors before making significant business decisions.

12. Disclaimer of warranties

FAD, including the course materials, the community, and the live build, is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the content is error-free, that access will be uninterrupted, or that any method taught will work in your business.

13. Limitation of liability

To the fullest extent permitted by law, John Kaplar LLC and its members, officers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or relating to your membership, the course materials, the community, or your implementation of anything taught in FAD, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability for all claims relating to FAD will not exceed the amount you paid us for membership in the twelve (12) months before the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless John Kaplar LLC and its members, officers, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Course Terms, your conduct in the community, or your implementation or use of anything taught in FAD, including any claim brought against us by your customers, employees, or business partners.

15. Governing law and venue

These Course Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules. Any dispute arising under them will be brought exclusively in the state or federal courts serving Loudoun County, Virginia, and you consent to the personal jurisdiction of those courts.

16. Changes

We may update these Course Terms from time to time. The "Last updated" date above reflects the most recent version. Continued membership after changes take effect constitutes acceptance of the updated terms.

17. General

If any provision of these Course Terms is found unenforceable, the remaining provisions stay in full effect. Our failure to enforce a provision is not a waiver of it. These Course Terms, together with our Terms of Service and, where applicable, our Website Design Offer Terms, are the entire agreement between you and John Kaplar LLC regarding FAD membership.
